Terms of Service

1. Acceptance

These Terms of Service (the "Terms") form a binding agreement between you and Moonote Co., Ltd. ("Souj", "we", "us") regarding your use of the Souj mobile application (the "Service").

By registering for or using the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

2. Eligibility

• You must be at least 13 years old to use the Service
• If you are under 18, you must have the consent of your parent or legal guardian
• You must have the legal capacity to enter into these Terms
• You must not use the Service if prohibited by the law of your jurisdiction

3. Accounts

3.1 Registration

Accounts are created via Google or Apple OAuth. There is no separate password. You are responsible for the security of your linked OAuth account.

3.2 Handles

After registration you may choose a unique handle (e.g. @yourhandle) as your public identifier. Souj reserves the right to reclaim, adjust, or reserve handles in the following cases:

• Violation of these Terms (impersonation, infringement, hateful language)
• Conflict with a valid claim (see Section 7)
• Apparent squatting on well-known names or trademarks

3.3 Account security

You are responsible for all activity under your account. If you suspect compromise, contact [email protected] immediately.

4. User content

4.1 Ownership

You retain all intellectual property rights in content you create (including but not limited to Collections, Locations, Location links, Reviews, Announcements, avatars, and bios; collectively "Your Content").

4.2 License granted to Souj

In order to operate, maintain, and promote the Service, you grant Souj a:

• worldwide, non-exclusive, royalty-free, sublicensable (solely for technical delivery), and transferable (solely in connection with a business succession)
• license to store, reproduce, adapt (e.g. generate thumbnails, summaries, embedding vectors), publicly transmit, publicly display, and distribute Your Content
• for the purposes of providing the Service's core features, promoting the Service (including showcasing high-quality public content in App Store screenshots, social media, and the website), and research and product improvement

This license terminates within a reasonable time when you remove the corresponding content or delete your account, except that lawful backups, indices, and logs are not subject to this termination.

4.3 Representations

You represent that Your Content:

• is lawfully owned by you or that you have obtained the necessary licenses
• does not infringe any third party's intellectual property, portrait rights, privacy, or trade secrets
• does not violate the laws of Taiwan or any other applicable jurisdiction

4.4 Prohibited content

You may not upload or share:

• Unlawful content or content against public order or morality
• Hateful, discriminatory, harassing, bullying, or threatening content
• Sexually explicit content, content unsuitable for minors, or any content related to child sexual exploitation
• Content that infringes others' intellectual property or privacy rights
• Misleading place information (fake locations, fake businesses, deliberately incorrect coordinates)
• Spam, bulk duplicate content, scams, or phishing links
• Malware, exploits, or content designed to disrupt the Service
• Personal data of others without their consent

5. Disclaimer for place information

Souj is a platform for user-curated content. All Locations, Reviews, and Collections are provided by users. We:

• do not guarantee the accuracy of place information (such as opening hours, whether a place is still operating)
• do not guarantee the truthfulness or objectivity of Reviews or descriptions
• are not responsible for what you encounter when visiting a place based on in-app information
• are not responsible for the content or policies of third-party links (Google Maps, Instagram, YouTube, etc.)

You use information from the Service at your own risk.

6. Collaboration rules

Collection owners can invite other users to collaborate. Collaboration permissions are layered:

• Add: collaborators may add Locations
• Edit: collaborators may edit existing Locations
• Delete: collaborators may only delete Locations they themselves added; the owner may delete any Location

All collaboration actions are logged. Owners may enable notifications to monitor collaborator add / edit / delete actions.

Intellectual property in content contributed by collaborators remains with its creator. If an owner wishes to transfer ownership to themselves, they may do so by copying the content and deleting the original.

7. Creator claims and identity

The Service may include creator profiles pre-populated by Souj (in an unclaimed state). A real creator may obtain management rights over their profile via the Claim flow:

• Claims require verifiable proof of association (e.g. posting a specific verification string on an associated platform)
• Souj evaluates claims in good faith based on submitted evidence
• If multiple parties claim the same profile, Souj reserves the right to decide based on the most reasonable evidence
• Once claimed, the profile is maintained by you going forward
• Claimed profiles may not be transferred or sold

8. Reporting, moderation, and removal

The Service provides a reporting mechanism for Collections, Locations, Reviews, and Profiles that violate these Terms.

We reserve the right to, in our reasonable discretion:

• Remove content that violates these Terms or the law, without prior notice
• Suspend or terminate accounts of users who violate these Terms
• Cooperate with lawful requests from authorities

If you believe your content was removed in error, email [email protected] to appeal.

If you believe content on the Service infringes your copyright, please email us with: a description of the work, the location of the infringing content (URL / Location ID), proof of your copyright ownership, your contact information, and a statement against false reporting.

9. Third-party services and advertising

The Service integrates third-party services: Google LLC (OAuth, Firebase, Google Maps links), Apple Inc. (OAuth, App Store), and Supabase (infrastructure). Each service is governed by its own terms and privacy policy.

Souj reserves the right to display advertising (including through third-party ad networks) within the Service in the future. Before any advertising feature is launched, we will notify you by in-app announcement and update these Terms and the Privacy Policy.

10. Intellectual property

Souj's trademarks, logos, design, code, and documentation belong to Moonote Co., Ltd. and are protected by intellectual property laws. Except for the license expressly granted in these Terms, you are granted no rights over Souj's intellectual property.

11. Disclaimer

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Souj disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, or data accuracy.

12. Limitation of liability

To the fullest extent permitted by applicable law, Souj shall not be liable for any indirect, consequential, incidental, or punitive damages arising from your use of, or inability to use, the Service, or arising from other users' content.

This section does not affect consumer rights that cannot be waived under applicable consumer protection laws.

13. Service changes and termination

Souj may add, modify, suspend, or terminate all or part of the Service at any time. Material changes will be announced in the app.

You may terminate these Terms at any time by deleting your account from within the app (see Section 6 of the Privacy Policy for the deletion flow).

If you violate these Terms, we may suspend or terminate your access after written or in-app notice; for severe violations, we may terminate immediately.

14. Governing law and jurisdiction

These Terms are governed by the laws of Taiwan. Any dispute arising from these Terms or the Service shall be submitted to the Taiwan Taipei District Court as the court of first instance, without prejudice to a consumer's right to bring suit in their local court under applicable consumer protection laws.

15. Changes to these Terms

We may revise these Terms to reflect service or legal changes. Material revisions will be announced in the app; continued use of the Service after a revision constitutes acceptance of the revised Terms.

16. Miscellaneous

• Severability: if any provision is held invalid or unenforceable, the remaining provisions remain in effect
• No waiver: our failure to exercise any right is not a waiver of that right
• Entire agreement: these Terms, together with the Privacy Policy, form the entire agreement between you and Souj regarding the Service
• Assignment: Souj may assign its rights and obligations under these Terms in connection with a corporate reorganization, merger, or asset transfer, with in-app notice

17. Contact us
